Bitfarms and Riot Reach Settlement

A settlement has been reached between Bitcoin miners Bitfarms and Riot Platforms, putting an end to their long-standing conflict over governance.

As part of the agreement, Andrés Finkielsztain will be stepping down from Bitfarms’ board of directors while Amy Freedman will be joining the board.

Additionally, Riot Platforms will withdraw its proposal for changes to the board ahead of the upcoming special shareholder meeting.

The companies have also agreed to a standstill arrangement that will last until 2026.

Riot, which holds a significant stake in Bitfarms, has pledged to refrain from any further hostile actions such as attempting another takeover, increasing its stake beyond a certain level, or proposing any changes to the company’s board.

Pending shareholders’ approval at an upcoming meeting to be held no later than November 20, Bitfarms will add a sixth member to its board.
